The Newmarket Business Association (NBA) is holding its Annual General Meeting at 5:30pm, Wednesday 27 October 2021 online via Zoom. 

As a Member of the NBA you are invited to attend the AGM. Our Constitution stipulates a minimum of 30 individual members present to reach quorum. We appreciate your assistance. 

Special Resolution notification: We are proposing a special resolution to amend our Rules to allow AGMs and SGMs to be conducted via electronic means, for example via online platforms.  This measure, at the discretion of the NBA Board, is to ensure formal meetings of the NBA can proceed where there may be COVID-related restrictions or other reasons that may prevent a physical meeting, in similar manner to the specific modifications to the Rules last year to permit electronic voting for the 2020 AGM. The special provisions made by MBIE last year during lockdown to allow AGMs to be held online have not been extended.

Special resolution wording:

That the Rules of the NBA be amended to include a new clause 27.7 as follows:

“27.7 At the discretion of the Board, including (without limitation) where there may be restrictions on physical meetings, a meeting of Members may be held by means of audio, or audio and visual communication, or other electronic means by which all Members participating and constituting a quorum can simultaneously communicate with each other throughout the meeting.”

Members in attendance at the AGM will be asked to vote on this special resolution at the AGM.
